Throughout these Terms, “Origo Solutions,” “Origo,” “we,” “our,” or “us” refers to Eternispring LLC operating under the Origo Solutions brand.
2. Services
Origo Solutions provides technology consulting and professional services, including but not limited to:
- Fractional CTO and technical advisory services
- Architecture reviews and technical due diligence
- AI, automation, and workflow implementation planning
- Cloud architecture and AWS consulting
- Security, infrastructure, and ownership assessments
- Technical roadmap development
- Oversight of software development teams and external vendors
- Business process automation and customer experience technology consulting
Our current service positioning is focused on senior technical leadership, AI and automation implementation, and AWS/cloud architecture, which aligns with the new website structure and Professional Services direction.
3. No Guarantee of Results
We provide professional recommendations, technical guidance, and implementation support based on the information available at the time of engagement. However, we do not guarantee any specific business outcome, financial result, funding result, operational improvement, software performance metric, search ranking, AI model result, or customer acquisition outcome.
Technology projects may depend on third-party platforms, client-provided materials, vendor cooperation, infrastructure limitations, budget, timeline, regulatory constraints, and other factors outside our control.
4. Client Responsibilities
Clients are responsible for providing accurate, timely, and complete information necessary for us to perform the agreed services. This may include access to systems, documentation, credentials, repositories, infrastructure accounts, project files, vendor communications, business requirements, and relevant stakeholder input.
Clients are responsible for reviewing deliverables, decisions, recommendations, and project outputs before relying on them for business, legal, financial, operational, or technical decisions.
Clients are also responsible for maintaining proper ownership, security, backup, compliance, and administrative control over their own systems, accounts, data, and vendors.
5. AI and Automation Disclaimer
Some services may involve artificial intelligence, machine learning, large language models, chatbots, workflow automation, voice agents, or third-party AI platforms.
AI-generated outputs may be inaccurate, incomplete, biased, outdated, or unsuitable for certain uses without human review. Clients are responsible for reviewing and validating any AI-generated content, recommendations, automations, workflows, or system outputs before using them in production or making business decisions based on them.
Unless explicitly agreed in writing, Origo Solutions does not provide legal, financial, medical, tax, compliance, or regulatory advice.
6. Third-Party Platforms and Services
Our services may involve third-party technologies, including but not limited to AWS, OpenAI, Anthropic, Google Cloud, Microsoft, Twilio, SendGrid, Firebase, n8n, WordPress, CRM systems, payment processors, hosting providers, analytics tools, and other software platforms.
We are not responsible for outages, pricing changes, service limitations, data handling practices, policy changes, security incidents, or discontinued functionality caused by third-party providers.
Clients are responsible for reviewing and complying with the terms, privacy policies, acceptable use policies, and billing requirements of any third-party platform used in their project.
7. Proposals, Statements of Work, and Engagement Terms
Specific project scope, pricing, payment terms, timelines, deliverables, assumptions, and responsibilities may be defined in a separate proposal, quote, statement of work, services agreement, email confirmation, or platform-based contract.
If there is a conflict between these Terms and a signed written agreement or platform contract, the signed agreement or platform contract will control for that specific engagement.
8. Payments and Fees
Fees for services will be agreed upon before work begins. Payment terms may vary depending on the engagement model, including project-based fees, hourly consulting, monthly retainers, milestone-based payments, or platform-managed contracts.
Unless otherwise agreed in writing, invoices are due upon receipt. Late payments may result in paused work, delayed delivery, or termination of services.
Clients are responsible for any applicable taxes, platform fees, transaction fees, or third-party software costs unless otherwise stated in writing.
9. Refunds and Cancellations
Due to the nature of consulting, advisory, technical strategy, and professional services, payments for completed work, delivered analysis, consulting sessions, project planning, technical reviews, and time already spent are generally non-refundable.
For ongoing retainers or project-based services, cancellation terms will be governed by the applicable proposal, statement of work, or written agreement.
10. Intellectual Property
Unless otherwise agreed in writing, clients retain ownership of materials, data, documents, codebases, accounts, trademarks, and intellectual property they provide to Origo Solutions.
Work product created specifically for a client may be transferred to the client upon full payment, subject to any limitations stated in the applicable agreement.
Origo Solutions retains ownership of its pre-existing knowledge, methodologies, templates, frameworks, reusable processes, general know-how, internal tools, and non-client-specific materials.
We may use general lessons learned from engagements to improve our services, provided that we do not disclose confidential client information.
11. Confidentiality
We understand that clients may share sensitive business, technical, operational, financial, or strategic information. We agree to handle confidential information with reasonable care and to use it only for the purpose of providing agreed services.
Confidentiality obligations do not apply to information that is publicly available, already known without restriction, independently developed, or lawfully obtained from another source.
Additional confidentiality or non-disclosure obligations may be established through a separate NDA or written agreement.
12. Security
Origo Solutions may provide security-related recommendations, audits, reviews, or implementation guidance. However, no system can be guaranteed to be completely secure.
Clients remain responsible for maintaining access controls, credential hygiene, backups, monitoring, compliance, vendor management, and security policies for their own systems.
Unless explicitly included in a written scope of work, our services do not constitute continuous security monitoring, managed cybersecurity services, penetration testing, compliance certification, or incident response.

14. Limitation of Liability

Our total liability for any claim related to the website or services shall not exceed the amount paid by the client to Origo Solutions for the specific service giving rise to the claim during the three months preceding the event that caused the claim.

You agree to indemnify and hold harmless Eternispring LLC, Origo Solutions, its owners, contractors, representatives, and affiliates from any claims, damages, liabilities, losses, costs, or expenses arising from your use of our website, your use of our services, your violation of these Terms, your misuse of third-party platforms, or your implementation of recommendations without appropriate review.
16. No Professional Legal, Financial, or Compliance Advice
Origo Solutions provides technology consulting, architecture, AI, cloud, automation, and technical advisory services. We do not provide legal, financial, accounting, tax, investment, medical, or regulatory advice.
Clients should consult qualified professionals for legal, financial, tax, compliance, or regulatory matters.
17. Governing Law
These Terms shall be governed by the laws of the State of Florida, United States, without regard to conflict of law principles.
Any disputes arising from these Terms, the website, or services shall be handled in the appropriate courts located in Florida, unless otherwise agreed in writing.
